1. Purpose and scope

These Terms and Conditions of Sale (hereinafter the “TCS”) apply to all services offered by Ajitix, whether performed remotely, on-site, or via the doorz.be platform.

Any order implies unreserved acceptance of these TCS by the client.

Certain specific clauses may differ depending on the nature of the service (IT services or web services). These differences are specified in the relevant sections.

2. Identification of the service provider

Ajitix benefits from the VAT exemption regime (article 56bis of the VAT Code). Prices shown are therefore exclusive of VAT (VAT not applicable).

3. Services offered

Ajitix services are divided into two categories:

3.1. IT services (troubleshooting and support)

  • Computer troubleshooting (diagnosis, optimization, cleanup, security)
  • Smartphone and tablet support (Android and iOS)
  • Installation and configuration of equipment (PC, printers, Wi-Fi, software)

These services are one-time and performed on client request.

3.2. Web services (creation, rental, and maintenance)

  • Simple website creation (without admin): delivered turnkey
  • Website creation with admin panel: delivered with autonomous management panel
  • Redesign and improvement of an existing website
  • Website rental via the Doorz platform (monthly subscription)
  • Maintenance and technical support (monthly subscription)

These services may be one-time (creation, redesign) or subscription-based (rental, maintenance).

4. Quotes and orders

4.1. Quote request

Quotes are provided free of charge on client request. They specify the nature of services, price, and estimated timelines.

The quote is valid for 30 days from the date of issue, unless otherwise stated.

4.2. Order validation

The order is considered final after:

  • Written acceptance of the quote by the client (email, signature)
  • And payment of the required deposit (see section 5.2)

For IT interventions without prior quote, the order is confirmed by verbal or written agreement on the applicable hourly rate.

5. Pricing and payment

5.1. Pricing principles

Prices are indicated in euros (€), exclusive of VAT (exemption regime, VAT not applicable).

Ajitix reserves the right to modify its prices at any time. Services are billed at the rates in effect at the date of order validation. Subscriptions may be revised annually.

5.2. Payment by service type

IT services:

  • Payment at the end of the intervention
  • Or according to the terms defined in the quote

Website creation and redesign:

  • 30% deposit of the total amount upon order
  • Balance due upon delivery of the website

Website rental (Doorz):

  • Setup payment due before the website goes live
  • Monthly subscription due at the beginning of each month

Maintenance:

  • Monthly subscription due at the beginning of each month

5.3. Payment methods

Accepted payment methods are:

  • Bank transfer
  • Cash (for on-site interventions)
  • Mobile payment (Payconiq)

5.4. Late payment

Unless otherwise agreed, invoices are payable within 30 days of the invoice date.

In case of late payment, interest at the applicable legal rate shall be due automatically and without prior notice, together with a fixed compensation of €40 for recovery costs.

5.5. Service suspension for non-payment

In case of non-payment of a subscription at its due date, Ajitix reserves the right to suspend access to the service after a formal notice remaining without effect for 15 days.

5.6. Additional language

Adding an additional language represents a 50% surcharge on the base price for custom websites, and +€10/month for website rental.

6. Performance of services

6.1. IT services

Interventions are performed throughout Belgium. An appointment is agreed upon mutually.

The client agrees to provide appropriate access to the relevant equipment and to be present or represented during the intervention.

Ajitix reserves the right to refuse an intervention if safety or access conditions are not met.

6.2. Website creation and redesign

Delivery timelines are indicative and depend on the project complexity and the client's responsiveness in providing necessary content (texts, images, information).

The project is delivered after final validation by the client. Minor modifications may be requested within a reasonable time after delivery.

The client agrees to provide all elements necessary for the project within reasonable timeframes (content, access, validations). Any delay attributable to the client may result in postponement of deadlines without liability for Ajitix.

Implicit validation: in the absence of client feedback within 7 days after delivery, the service shall be deemed accepted.

Simple website (without admin): the client receives a finished website. Subsequent content changes require Ajitix intervention (billable or included in a maintenance contract).

Website with admin: the client receives a website with an autonomous management panel. The source code is delivered to the client after full payment.

File delivery: the handover of source files or full access is only made after full payment of the service.

Post-delivery support: a 6-month technical support is included after delivery for custom websites. This support covers technical assistance and bug fixes. It does not cover content modifications or functional developments.

Ajitix does not guarantee any results in terms of search engine optimization (SEO), traffic, revenue, or search engine positioning. The client acknowledges that these elements depend on many external factors beyond Ajitix's control.

6.3. Website rental (Doorz)

The monthly subscription includes:

  • Secure hosting (HTTPS)
  • Automatic backups
  • Technical maintenance and updates
  • Minor content modifications on request

Minor modifications: changes to texts, images, opening hours, or contact details. Structural modifications (adding pages, redesigning sections) may be subject to an additional quote.

6.4. Optional maintenance

The maintenance service is offered to clients with a custom website. It includes:

  • Technical and security updates
  • Regular backups
  • Technical support
  • Minor content modifications

6.5. Best-efforts obligation

Ajitix commits to deploying all necessary means for the proper execution of services. This is a best-efforts obligation, not an obligation of result.

6.6. Subscription cancellation

The client may cancel their subscription (website rental or maintenance) at any time by email. Any cancellation request must be sent before the last day of the month to take effect at the end of that month. No refund is due for the current month.

After cancellation of website rental: the website is deactivated. Client data (texts, images) can be recovered on request within 30 days.

The domain name, purchased and configured by the client, remains their property.

7. Right of withdrawal

In accordance with Book VI of the Belgian Code of Economic Law, the consumer (B2C) has a 14-day withdrawal period without reason or penalty. Professional clients (B2B) do not benefit from this right.

7.1. IT services

For interventions performed immediately at the client's request, the right of withdrawal cannot be exercised if the service has been fully performed with the consumer's prior express consent.

7.2. Web services

The right of withdrawal cannot be exercised for digital content provided on an intangible medium whose execution began with the consumer's express consent.

In case of withdrawal after the start of execution, the consumer owes an amount proportional to what has been provided.

7.3. Exercise

To exercise this right, the client notifies their decision in writing (email or letter) within the 14-day period.

8. Warranties and liability

8.1. Legal warranty

Services are subject to the provisions of the Belgian Code of Economic Law relating to conformity and hidden defects.

8.2. Limitation of liability — IT services

Ajitix cannot be held liable for:

  • Existing hardware failures or obsolescence of the client's equipment
  • Loss of data not backed up by the client before the intervention
  • Incompatibilities with third-party software or services

8.3. Limitation of liability — Web services

Ajitix cannot be held liable for:

  • Commercial performance, traffic, or search engine positioning of the website
  • Temporary interruptions related to maintenance, updates, or hosting incidents
  • Malfunctions related to third-party services (hosting, DNS, email provider, external APIs)

In any case, Ajitix's liability is limited to the amount of the service concerned.

8.4. Data backup

IT services: the client must make a complete backup of their data before any intervention.

Web services: Ajitix performs regular automatic backups. However, the client is encouraged to keep a copy of their content. Despite the backups performed, Ajitix does not guarantee full restoration in case of a major incident.

8.5. Content provided by the client

The client is solely responsible for the accuracy and legality of the content they provide.

Ajitix reserves the right to refuse or remove any manifestly illegal content.

The client indemnifies Ajitix from any liability in case of third-party claims related to content provided by the client.

8.6. Access and credentials

The client is responsible for keeping their credentials (hosting, domain name, email, CMS). Ajitix cannot be held liable for loss of access or mismanagement of these elements by the client.

9. Intellectual property

9.1. Custom websites

  • The client retains ownership of the content they provide (texts, images, logos)
  • Simple website (without admin): right of use after full payment. Source code remains Ajitix's property
  • Website with admin: source code is delivered and becomes the client's property after full payment
  • Ajitix may retain a discrete credit in the footer, unless otherwise requested

9.2. Website rental (Doorz)

The website provided remains Ajitix's property. The client has a right of use during the subscription period. The client retains ownership of their content and domain name.

9.3. Protection

Any reproduction, modification, or reuse of the website or its elements (design, structure, code) without prior written authorization from Ajitix is prohibited.

Source codes, scripts, templates, and tools developed by Ajitix remain its exclusive property, unless otherwise agreed in writing.

10. Client behavior

Ajitix reserves the right to refuse or interrupt a service in case of abusive, disrespectful, or fraudulent behavior by the client.

11. Force majeure

Ajitix cannot be held liable for non-performance of its obligations in case of force majeure, as defined by Belgian law.

12. Complaints

Any complaint must be submitted in writing (email or letter) within a reasonable time following the end of the service.

In case of dispute, an amicable solution will be sought first. The consumer may also use the European Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.

13. Data protection

Personal data collected is processed in accordance with the GDPR and the Privacy Policy of the website.

Data is used solely for service management, client relations, and billing. It is not sold to third parties.

14. Modification of the TCS

Ajitix reserves the right to modify these TCS at any time. The applicable TCS are those in effect at the date of order validation.

Tolerance clause: failure by Ajitix to enforce a clause does not constitute a waiver of the right to enforce it subsequently.

15. Applicable law and disputes

These TCS are governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the Belgian courts.

In case of dispute with a consumer, the competent courts shall be those provided for by the Belgian Judicial Code.

16. Language

These TCS are available in several languages. In case of divergence, the French version shall prevail.
